Terms of Service

1. Who we are

InvoiceShark (“the Service”) is operated by [Registered business name], [Registered business address] (“we”, “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

InvoiceShark helps freelancers and small businesses track invoices, identify overdue accounts, and send automated payment reminders that include a hosted Stripe payment link. We may add, change, or remove features over time.

3. Eligibility and your account

  • You must be at least 18 and able to enter into a contract.
  • You are responsible for the accuracy of the information in your account and for all activity that happens under it.
  • Keep your login credentials secure. Tell us promptly if you believe your account has been compromised.
  • Authentication is handled by our provider, Clerk. Your use of the sign-in flow is also subject to Clerk's terms.

4. Your content and your customers

You retain ownership of the invoice, client, and business information you enter (“Your Content”). You grant us a limited licence to host and process Your Content solely to provide the Service.

You are solely responsible for ensuring that:

  • The amounts, due dates, and contact details you enter are correct.
  • You have a lawful basis to email the recipients you add, and that reminder emails sent through InvoiceShark comply with applicable anti-spam and marketing laws.
  • Your use of the Service does not infringe anyone's rights or break any law.

5. Acceptable use

You agree not to:

  • Use the Service to send spam, harassing, deceptive, or unlawful messages.
  • Upload malware or attempt to disrupt, probe, or gain unauthorised access to the Service or its infrastructure.
  • Resell or provide the Service to third parties except as expressly permitted.
  • Use the Service to collect debts in a manner that violates applicable debt-collection or consumer-protection law.

We may suspend or terminate accounts that breach this section, with or without notice depending on severity.

6. Plans, billing, and cancellation

  • The Free plan is offered at no cost and is subject to usage limits (currently 2 active invoices and 3 reminder emails per month), which may change.
  • The Pro plan is billed at $23.99 per month in advance through Stripe. Charges recur automatically until you cancel.
  • You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you keep Pro access until then.
  • Except where required by law, payments are non-refundable, including for partial billing periods.
  • We may change pricing on prospective notice. Continued use after a price change takes effect means you accept the new price.

7. Payment links to your customers

Payments your customers make via InvoiceShark payment links are processed by Stripe and settle to the Stripe account you connect. We are not a party to the underlying transaction between you and your customer and are not responsible for disputes, chargebacks, or non-payment.

8. Availability and support

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or factors beyond our control may cause downtime.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. InvoiceShark does not provide legal, tax, or debt-collection advice.

10. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends; sections that by their nature should survive (for example ownership, disclaimers, and limitation of liability) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material we will make reasonable efforts to notify you. Continued use of the Service after changes take effect means you accept the revised Terms.

13. Governing law

These Terms are governed by the laws of [Governing jurisdiction — e.g. England & Wales], and the courts of [Governing jurisdiction — e.g. England & Wales] have exclusive jurisdiction, except where mandatory local law provides otherwise.
